My car does the same thing, it was this metal flapping sound. Turns out the heat shield around the cat rusted through resulting in the 2 clam shell halves of the shield flapping against each other at idle, highway speeds, and also when shifting / accelerating.

have you done anything to fix it? i noticed the cat had some rust but that shouldnt be, the car only has 68k miles! and no it isnt an exhaust leak, it only happens when i accelerate, especially going up hills.

I can't hear it, I can't see it but saying it happens only while accelerating and up hill while a load is on the car makes it sound more like a minor exhaust leak.. Just sayin

Look for carbon build up around all flanges

if it only happens when you accelerate than it is most likely an exhaust leak like guardian said. If it needed a valve adjustment it would be more of a ticking sound and it would happen at idle and the ticking would become quicker as the rpm's go up. Doesn't sound like the valves to me though.

well, i can tell you guys for sure its not an exhaust leak, it sounds more like its got something to do with the motor, or something else, anyone have any other ideas?
